1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and the applicable DEFYLD entity, affiliate, technology operator, or regional service provider responsible for the DEFYLD services made available to you (“DEFYLD,” “we,” “us,” or “our”).

These Terms govern your access to and use of the DEFYLD website, software, applications, wallet interfaces, blockchain connectivity tools, decentralized application interfaces, digital-asset management functionality, and related services (collectively, the “Services”).

DEFYLD is principally designed as a self-custody blockchain wallet through which users may interact with supported blockchain networks and manage digital assets using wallet credentials controlled by the User.

By accessing, installing, creating, importing, connecting to, or using a DEFYLD wallet or any associated Service, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you must not access or use the Services.

2. Definitions

“Blockchain” means a distributed ledger network on which digital assets and transactions are recorded.

“Digital Asset” means a cryptocurrency, token, digital token, virtual asset, or other blockchain-based asset supported by the Services.

“Private Key” means cryptographic information that permits authorization of blockchain transactions from a wallet address.

“Recovery Phrase” means the sequence of words generated or imported for the purpose of recovering a compatible wallet.

“Wallet” means the DEFYLD software interface and associated cryptographic functionality through which a User may access and interact with supported blockchain addresses and assets.

“Self-Custody” means an arrangement under which the User, rather than DEFYLD, maintains control of the Private Keys or Recovery Phrase necessary to authorize transactions.

“Network” means a blockchain or distributed ledger network supported by DEFYLD.

“dApp” means a decentralized application or blockchain-based protocol operated by a third party.

“Third-Party Service” means any service, protocol, exchange, bridge, validator, staking provider, liquidity provider, dApp, blockchain network, or other service not operated directly by DEFYLD.

“Supported Asset” means a Digital Asset that DEFYLD has made technically compatible with the applicable Wallet or Service.

3. The DEFYLD Wallet

DEFYLD provides a technology interface designed to allow Users to interact with blockchain networks and manage supported Digital Assets.

Depending on the version of the Services available to you, functionality may include:

- creation of blockchain wallets;

- importing compatible wallets;

- receiving Digital Assets;

- sending Digital Assets;

- viewing blockchain balances;

- viewing transaction histories;

- connecting to supported blockchain networks;

- interacting with dApps;

- connecting to decentralized protocols;

- token management;

- blockchain-based swaps;

- staking functionality;

- DeFi functionality;

- yield-related functionality;

- network selection;

- transaction signing; and

- other blockchain-related functionality.

The availability of any particular function is not guaranteed and may vary according to jurisdiction, blockchain network, asset, device, regulatory requirements, technical limitations, and third-party availability.

4. Self-Custody

DEFYLD is fundamentally structured around self-custody.

Where a Wallet is operated on a self-custodial basis:

1. DEFYLD does not ordinarily possess the User's Private Keys;

2. DEFYLD does not ordinarily hold the User's Digital Assets on the User's behalf;

3. the User is responsible for safeguarding the Recovery Phrase and Private Keys;

4. blockchain transactions are authorized through cryptographic credentials controlled by the User; and

5. DEFYLD generally cannot reverse, cancel, or recover an incorrectly authorized blockchain transaction.

Your wallet credentials are your responsibility.

If you lose your Recovery Phrase or Private Key, DEFYLD may be unable to restore access to your Wallet.

5. Recovery Phrase and Private Keys

Upon creation or import of a compatible Wallet, you may receive or use a Recovery Phrase, Private Key, seed phrase, or equivalent credential.

You must:

- keep your Recovery Phrase confidential;

- store it securely and offline where appropriate;

- never disclose it to another person;

- never provide it to an alleged DEFYLD employee through an unsolicited communication;

- avoid storing it in publicly accessible locations;

- avoid photographing or uploading it unnecessarily; and

- maintain appropriate backup arrangements.

DEFYLD will never require you to disclose your complete Recovery Phrase merely to provide ordinary customer support.

Anyone who obtains your Recovery Phrase or Private Key may be capable of controlling the associated Digital Assets.

DEFYLD cannot guarantee recovery of Digital Assets lost through compromised credentials, phishing, malware, fraudulent websites, unauthorized device access, accidental disclosure, lost Recovery Phrases, incorrect backups, user error, or compromised third-party applications.

6. Wallet Creation and Import

Users may create a new Wallet through DEFYLD or import a compatible existing Wallet.

When importing an existing Wallet, you represent that:

- you lawfully control the Wallet;

- you have authority to access the associated Digital Assets;

- the Recovery Phrase or Private Key belongs to you or you are otherwise legally authorized to use it; and

- importing the Wallet does not violate any applicable law or contractual obligation.

DEFYLD does not acquire ownership of Digital Assets merely because a Wallet is connected to the Services.

7. Digital-Asset Ownership

Subject to applicable law and the operation of the relevant blockchain, Digital Assets remain associated with blockchain addresses controlled through the applicable cryptographic credentials.

DEFYLD does not acquire beneficial ownership of a User's Digital Assets solely by providing Wallet software.

Digital Assets are not equivalent to traditional bank deposits unless expressly stated otherwise under a specific regulated product.

Unless expressly stated in writing, DEFYLD does not provide bank deposits, insured deposit accounts, securities brokerage accounts, traditional custody accounts, government-backed guarantees, or guaranteed investment products.

8. Blockchain Transactions

Blockchain transactions are generally recorded on distributed ledgers.

Once submitted and confirmed, a blockchain transaction may be irreversible, publicly visible, subject to network confirmation requirements, subject to network fees, delayed, rejected, reorganized in certain circumstances, or affected by changes to the underlying blockchain.

DEFYLD cannot guarantee that a transaction will be confirmed within a particular period.

You are responsible for confirming the destination address, blockchain network, Digital Asset, transaction amount, and applicable transaction parameters.

Sending an asset through an unsupported network or to an incompatible address may result in permanent loss.

9. Network Fees

Blockchain networks may require transaction fees commonly referred to as gas fees, network fees, miner fees, validator fees, or transaction fees.

These fees are generally determined by the relevant blockchain network and may fluctuate significantly.

DEFYLD does not guarantee a particular network fee.

A transaction may require sufficient Digital Assets to pay the applicable network fee before it can be successfully submitted.

10. Supported Assets

DEFYLD may support multiple Digital Assets and blockchain networks.

Technical support for an asset does not constitute an endorsement, investment advice, guarantee of value, representation concerning the issuer, representation concerning legality in every jurisdiction, or guarantee that the asset will remain supported.

DEFYLD may add, modify, suspend, or remove support for an asset or network.

11. Digital-Asset Volatility

Digital Assets may experience substantial price volatility.

The value of a Digital Asset may increase or decrease rapidly and may become illiquid or worthless.

Past performance is not an indication of future results.

DEFYLD does not guarantee appreciation, preservation of capital, liquidity, profitability, yield, staking rewards, trading returns, or any particular Digital Asset price.

12. Swaps

Where swap functionality is made available, DEFYLD may provide an interface through which Users can exchange one Digital Asset for another.

Swap transactions may involve third-party liquidity providers, decentralized exchanges, aggregators, smart contracts, or other external infrastructure.

Swap execution may be affected by liquidity, slippage, network congestion, price movements, routing, smart-contract conditions, transaction fees, third-party availability, and blockchain confirmation.

A quoted price is not necessarily a guaranteed execution price.

13. Staking

DEFYLD may provide interfaces allowing Users to participate in blockchain staking.

Staking may involve lock-up periods, unbonding periods, validator risks, slashing, network penalties, variable rewards, delayed withdrawals, and technical risks.

Any displayed staking rate, APY, APR, reward estimate, or projected return may change.

No staking reward is guaranteed.

14. DeFi and Yield Services

Certain versions of DEFYLD may provide access to decentralized finance (“DeFi”) protocols or yield-related functionality.

Such functionality is optional and does not change the fundamental self-custody nature of the Wallet unless expressly stated otherwise.

DeFi activities may involve liquidity provision, lending, borrowing, staking, liquidity pools, automated market makers, vaults, Smart Contracts, and tokenized positions.

DeFi carries significant risks, including smart-contract vulnerabilities, oracle failures, liquidity loss, protocol insolvency, exploits, economic attacks, governance failures, and permanent loss of Digital Assets.

DEFYLD does not guarantee DeFi returns.

15. Smart Contracts

A Smart Contract is code deployed to a blockchain.

When you interact with a Smart Contract, you may authorize blockchain transactions that cannot be reversed.

Smart Contracts may contain vulnerabilities, coding errors, economic exploits, malicious functions, administrative controls, or unexpected behavior.

DEFYLD does not guarantee the security or performance of third-party Smart Contracts.

16. dApps and Third-Party Services

DEFYLD may allow Users to connect to dApps or other third-party services.

DEFYLD does not necessarily control the developers, Smart Contracts, websites, tokens, liquidity, security, terms, privacy practices, or continued operation of those services.

Your use of a third-party service is governed by the third party's applicable terms and policies.

17. Bridges and Cross-Chain Services

Where supported, DEFYLD may permit Users to interact with blockchain bridges or cross-chain protocols.

Bridges may introduce additional risks, including smart-contract exploits, validator compromise, liquidity shortages, wrapped-asset failures, chain reorganizations, and network incompatibility.

Cross-chain transactions may not be reversible.

18. User Eligibility

Unless otherwise permitted by applicable law and the particular Service:

- you must be at least 18 years old;

- you must not be legally prohibited from using Digital Asset services;

- you must not be located in a jurisdiction where the applicable Service is prohibited; and

- you must comply with all applicable laws.

Certain Services may impose additional eligibility requirements.

19. Regional Availability

DEFYLD may provide different functionality depending upon jurisdiction.

Features may be restricted, modified, unavailable, subject to additional verification, subject to transaction limits, or discontinued.

You must not circumvent geographic restrictions through VPNs, false information, or other technical means where doing so would violate applicable law or these Terms.

20. Identity Verification and Compliance

Although the core DEFYLD Wallet may operate on a self-custody basis, certain optional Services may require identity verification, sanctions screening, transaction monitoring, or other compliance procedures.

Where required, you agree to provide accurate and current information.

DEFYLD may restrict or suspend particular Services where legally required.

21. AML and Sanctions

You must not use DEFYLD to launder money, finance terrorism, evade sanctions, facilitate fraud, conceal proceeds of crime, conduct unlawful gambling where prohibited, purchase prohibited goods or services, engage in market manipulation, or otherwise violate applicable law.

DEFYLD may cooperate with lawful requests from competent authorities where required.

22. Prohibited Conduct

You must not use the Services to:

1. impersonate another person;

2. commit fraud;

3. distribute malware;

4. compromise another person's Wallet;

5. exploit vulnerabilities without authorization;

6. interfere with DEFYLD infrastructure;

7. conduct unlawful financial activity;

8. circumvent technical restrictions;

9. use automated systems to abuse the Services;

10. manipulate blockchain transactions;

11. engage in sanctions evasion;

12. facilitate theft of Digital Assets; or

13. violate applicable law.

23. Security

DEFYLD may implement reasonable technical and operational safeguards designed to protect the Services.

Security measures may include encryption, device-level protections, authentication controls, transaction confirmation mechanisms, application integrity controls, monitoring, infrastructure security, and vulnerability management.

No technology can be guaranteed to be completely secure.

You remain responsible for securing your device, operating system, passwords, Recovery Phrase, Private Keys, and authentication credentials.

24. Customer Support

DEFYLD may provide customer-support channels.

Support personnel will not normally require your complete Recovery Phrase or Private Key.

You should treat unsolicited requests for wallet credentials as potentially fraudulent.

DEFYLD does not guarantee that support will always be available or that every technical issue can be resolved.

25. Fees

DEFYLD may charge fees for certain optional Services.

Fees may include platform fees, swap fees, service fees, transaction fees, and third-party provider fees.

Blockchain network fees are separate from DEFYLD's own fees unless expressly stated otherwise.

26. Tax Responsibility

You are solely responsible for determining and satisfying your tax obligations.

Digital-asset taxation varies by jurisdiction and may depend on acquisition, disposal, staking, rewards, swaps, transfers, DeFi activity, airdrops, and other transactions.

DEFYLD does not provide tax advice.

27. No Financial, Investment or Tax Advice

Information displayed through DEFYLD is provided for general informational purposes.

Nothing in the Services constitutes investment advice, financial advice, tax advice, legal advice, accounting advice, or a recommendation to purchase or sell a Digital Asset.

You make your own decisions regarding Digital Assets and assume responsibility for those decisions.

28. No Guarantee of Returns

DEFYLD does not guarantee profits, APY, APR, staking rewards, yield, capital preservation, asset appreciation, liquidity, or any specific financial outcome.

Any historical yield, projected return, reward rate, or performance information is illustrative and may change.

29. Regional Corporate and Regulatory Framework

DEFYLD may operate through a broader multi-jurisdictional corporate, technology, and service-provider structure.

Regional entities, registrations, corporate records, and regulated third-party providers may perform different functions.

For transparency, DEFYLD may publish relevant corporate and regulatory information separately from these Terms.

Australia: An Australian corporate or registration record may identify an entity associated with the broader regional structure. Corporate registration should not automatically be interpreted as an Australian Financial Services Licence.

United States: A U.S. entity may maintain corporate or securities-related filings with the U.S. Securities and Exchange Commission. An SEC EDGAR filing, including a Form D, should not be represented as an SEC endorsement or approval of the DEFYLD Wallet.

Germany / European Union: DEFYLD may utilize or interact with regulated European infrastructure providers where applicable. Where a third-party regulated institution provides custody, exchange, transfer, or other regulated infrastructure, its authorization applies to that institution and within the scope of its authorization.

United Kingdom: A UK corporate entity associated with the DEFYLD ecosystem may be registered with Companies House. Corporate registration is distinct from authorization by a financial-services regulator.

30. Third-Party Regulated Providers

DEFYLD may integrate with third-party providers that are independently regulated in particular jurisdictions.

Such providers may include custodians, liquidity providers, payment providers, exchanges, staking providers, compliance providers, blockchain infrastructure providers, and other regulated or unregulated service providers.

The regulatory status of a third-party provider does not automatically extend to DEFYLD.

31. Privacy

DEFYLD may collect and process information necessary to operate the Services, provide support, maintain security, comply with legal requirements, and improve the Services.

Information may include account information, device information, technical information, transaction-related information, communications, compliance information, and information required by applicable law.

Personal information will be handled in accordance with the applicable DEFYLD Privacy Policy and relevant data-protection requirements.

32. Public Blockchain Information

Blockchain transactions may be publicly recorded.

Depending on the Network, transaction information may be visible to blockchain explorers, network participants, validators, nodes, analytics providers, and other blockchain infrastructure operators.

DEFYLD cannot guarantee anonymity merely because the Wallet is self-custodial.

33. Intellectual Property

The DEFYLD name, trademarks, logos, software, website design, documentation, graphics, interfaces, text, and other proprietary materials are owned by or licensed to DEFYLD unless otherwise indicated.

You receive a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

You may not copy proprietary software, reverse engineer the Services except where legally permitted, remove proprietary notices, reproduce DEFYLD branding without authorization, sell access to the Services, or create unauthorized derivative products.

34. Open-Source Software

Certain DEFYLD components may incorporate open-source software.

Open-source components may be governed by their respective licenses.

Where an open-source license conflicts with these Terms regarding a particular component, the applicable open-source license may govern that component to the extent required by law.

35. Service Availability

DEFYLD seeks to maintain reliable Services but does not guarantee uninterrupted availability.

Services may become temporarily unavailable because of maintenance, software updates, blockchain congestion, network outages, cybersecurity incidents, infrastructure failures, third-party outages, regulatory requirements, force majeure events, or other circumstances beyond DEFYLD's reasonable control.

36. Suspension and Termination

DEFYLD may restrict or suspend access to particular Services where reasonably necessary to comply with law, protect users, protect the network, investigate suspected abuse, address security incidents, comply with sanctions requirements, respond to court or regulatory orders, or maintain the integrity of the Services.

Suspension of the DEFYLD interface does not necessarily prevent a User from independently accessing assets through compatible blockchain software where the relevant Private Keys remain under the User's control.

37. User Responsibility Following Termination

If your access to DEFYLD is terminated, you remain responsible for securing your Wallet credentials.

Where the Wallet is self-custodial, termination of access to a DEFYLD interface does not necessarily transfer ownership or control of blockchain assets to DEFYLD.

38. Risk Disclosure

Digital Assets involve significant risks, including market risk, liquidity risk, technology risk, cybersecurity risk, regulatory risk, smart-contract risk, counterparty risk, blockchain risk, custody risk, stablecoin risk, and DeFi risk.

You accept these risks when using the Services.

39. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis.

DEFYLD does not warrant that the Services will always be available, error-free, supported by every blockchain, compatible with every Digital Asset, successful for every transaction, secure from every third-party protocol risk, or fully accurate and current at all times.

40. Limitation of Liability

To the maximum extent permitted by applicable law, DEFYLD shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Services.

This includes, where legally permissible, loss of profits, loss of opportunity, loss of Digital Assets, market losses, blockchain failures, third-party protocol losses, compromised credentials, User error, or unauthorized access.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

41. User Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless DEFYLD and its applicable affiliates, officers, employees, contractors, and service providers from claims arising from your violation of these Terms, unlawful use of the Services, infringement of third-party rights, fraud or misconduct, misuse of Digital Assets, or interaction with third-party protocols.

42. Force Majeure

DEFYLD shall not be responsible for failures caused by circumstances beyond reasonable control, including natural disasters, war, terrorism, government action, regulatory intervention, telecommunications failures, power failures, cyberattacks, blockchain failures, network congestion, infrastructure failures, or other extraordinary events.

43. Governing Law

The governing law applicable to these Terms shall depend on the DEFYLD entity providing the relevant Service and the mandatory laws applicable to the User's jurisdiction.

Nothing in these Terms is intended to deprive a consumer of mandatory rights that cannot legally be waived.

44. Dispute Resolution

Before commencing formal proceedings, the parties should make reasonable efforts to resolve disputes through good-faith communication.

Where arbitration is applicable, the applicable arbitration agreement, jurisdiction, seat, rules, and appointment mechanism shall be identified in the relevant regional terms.

45. Consumer Rights

Nothing in these Terms is intended to exclude mandatory consumer protections.

Where local law provides Users with rights that cannot legally be excluded or limited, those rights shall prevail over conflicting provisions.

46. Changes to These Terms

DEFYLD may update these Terms periodically.

Material changes may be communicated through the DEFYLD website, application, email, account notifications, or other reasonable communication methods.

The updated version will identify its effective date.

47. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, the remaining provisions shall continue to apply to the maximum extent permitted by law.

48. No Waiver

Failure by DEFYLD to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later.

49. Assignment

You may not assign your rights or obligations under these Terms without DEFYLD's prior written consent where such consent is legally required.

DEFYLD may assign or transfer its rights and obligations in connection with a restructuring, merger, acquisition, sale of assets, corporate reorganization, or transfer of the applicable Service, subject to applicable law.

50. Entire Agreement

These Terms, together with applicable Privacy Policy, Cookie Policy, Risk Disclosure, Regional Terms, service-specific terms, fee schedules, and other policies expressly incorporated by reference, constitute the agreement governing your use of the applicable Services.

51. Language

Where these Terms are translated into another language, the translation is provided for convenience unless otherwise required by applicable law.

52. Contact and Official Communication

Users should rely only on official DEFYLD communication channels published through the official DEFYLD website and application.

DEFYLD will not ordinarily request your Recovery Phrase, complete Private Key, unrestricted remote access to your device, or transfer of Digital Assets to an employee's personal wallet.

53. Regulatory Transparency Statement

DEFYLD is committed to distinguishing between corporate registration, regulatory authorization, financial-services licensing, third-party regulated infrastructure, and self-custody wallet technology.

A company registration does not by itself constitute authorization to conduct regulated financial services. Likewise, a regulatory record or third-party authorization does not automatically mean that every DEFYLD feature, product, Digital Asset, or service is approved, endorsed, or supervised by that authority.

DEFYLD will not intentionally represent a corporate registration, filing, or third-party authorization as a broader regulatory approval than it actually constitutes.
